What AI governance means at executive level

AI governance is the set of decisions, structures, and controls that determine how an organisation approves, monitors, and retires its AI systems. Under the EU AI Act, several of these decisions are no longer optional.

The minimum viable structure

• AI Council (executive, quarterly) — sets appetite, approves high-risk deployments, signs off the literacy program.
• AI Review Board (operational, monthly) — Legal, Risk, CTO, DPO, rotating business sponsor.
• AI Product Owners (per system) — one named person per production system.

What executives must personally decide

• Risk appetite — do we deploy high-risk systems at all?
• Build vs. buy — are we ever a provider?
• Human oversight standard — what does "meaningful review" mean?
• Vendor bar — minimum contractual and evidentiary standards.
• Kill-switch policy — who can suspend a system in the middle of the night?

KPIs the board should see

• Systems in production by risk tier.
• % of high-risk systems with a complete technical file.
• Article 4 literacy completion rate per business unit.
• Incidents logged and mean time to resolution.
• Vendor concentration risk.

The three failure modes

1. Legal owns it alone — no operational co-owner.
2. Committee theatre — meets twice then dies.
3. Audit-only mindset — no value-creation lens, loses buy-in.

First 90 days

• Days 1-30: inventory and classification.
• Days 31-60: stand up the AI Review Board with a written charter.
• Days 61-90: publish the risk appetite statement.
